This Non-Disclosure Agreement ("Agreement") is entered into between Amphion ("Company") and the undersigned investor ("Recipient"). 1. Confidential Information. Recipient agrees that all materials, data, product information, financial information, models, forecasts, and discussions made available through weareamphion.com or otherwise by Company are confidential and may not be disclosed, reproduced, or used except for evaluating a potential investment in Company. 2. Non-use. Recipient shall not use Confidential Information for any purpose other than evaluating a potential investment in Company, and shall not reverse engineer, copy, or commercially exploit any Confidential Information. 3. Non-disclosure. Recipient shall not disclose Confidential Information to any third party without Company's prior written consent, except to advisors bound by confidentiality obligations no less protective than this Agreement, and only as needed for the evaluation purpose above. 4. Residuals. Nothing in this Agreement restricts Recipient from using residual knowledge retained in unaided memory, provided Recipient does not intentionally memorize Confidential Information to evade these obligations. 5. Term. This Agreement remains in effect for two (2) years from the date of signature unless superseded by a written agreement signed by Company. 6. Return / destruction. Upon Company's request, Recipient shall promptly return or destroy Confidential Information in its possession, except for copies retained solely for legal or compliance purposes under continued confidentiality. 7. No license. Nothing in this Agreement grants Recipient any license or other rights in Company's intellectual property. 8. Governing terms.
